Benecian - Terms and Conditions

These Terms and Conditions govern the use of the Social Media Marketing Incubator Program (the "Program") offered by Benecian Marketing Institute (the "Company") to its clients. By enrolling in the Program, you agree to be bound by these Terms and Conditions, which constitute a binding agreement between you and the Company. Benecian Marketing Institute is operating name that used by Clayden Consultants Inc.

The Program starts on the day of your payment. The Program’s period is 6 months, and, if you fail to obtain a certification card and certificate within 6 months, the Program period cannot be extended. To complete the acquisition of the certificate and certification card, you must complete the Program within 6 months. Failure to finish the Program within that time limit will nullify your status as a student and you will need to take the Program again.The certificate provided does not have an expiration date and is valid for life once completed. The certification card will be issued after completing the Program’s exam (or final test), and the validity period is of 24 months from the date of passing said exam. If you wish to reacquire or extend your license at the end of the validity period, you must complete the Program and pass the certification again. 

Eligibility:

To participate in the Program, you must be at least 18 years of age and have legal authority to enter into a contract with the Company. The Program is available to individuals who wish to learn about social media marketing and obtain a certification in the field.

Services:

The Company will provide you with social media marketing training and education through online courses, webinars, and other educational resources. Upon completion of the program and its assessments, you will receive a certification from the Company, provided that you pass all quizzes and assignments. 

Fees and Payment:

You agree to pay the Company for the services rendered in accordance with the fee structure outlined on the purchase page. 

Intellectual Property:

The Company retains all rights, title, and interest in any content or material it creates or uses in connection with the Program. You may not use, reproduce, or distribute any content or material created by the Company without the Company's prior written consent. Access to the Program and its lectures cannot be transferred to another person, and, if caught, access may be immediately suspended without refund. 

Confidentiality:

Both parties agree to keep confidential any non-public information disclosed by the other party in connection with the Program. This includes, but is not limited to, information regarding social media marketing strategies and techniques. The obligation of confidentiality shall survive termination of the Program. Additionally, photos and/or names of those attending the Program cannot be shared or provided to third parties, and you may be subject to legal punishment if caught under the Personal Information Protection Act. 

Termination:

Either party may terminate the Program upon written notice to the other party. In the event of termination, you agree that there will be no refunds for the services rendered, regardless of the percentage of completion for the program or assessments statuses. The Company may terminate the Program immediately if you breach any of these Terms and Conditions.

Disclaimer of Warranties:

The Company makes no guarantees or warranties regarding your ability to obtain employment or generate income as a result of obtaining the certification.

Limitation of Liability:

The Company's liability for any claim arising out of or relating to the Program, whether in contract, tort, or otherwise, shall be null. In no event shall the Company be liable for any special, incidental, or consequential damages, including but not limited to, lost profits or business interruption. The Program does not guarantee or promise any sales, profits, or success, and the results of the Program may vary depending on the student or client. The Company must provide the Program in its entirety, but the period may change depending on the instructor's health or other problems that may arise. 

Indemnification:

You agree to indemnify and hold the Company harmless from any claims, damages, or expenses, including reasonable attorneys' fees, arising out of or related to your participation in the Program.

Governing Law and Jurisdiction:

These Terms and Conditions shall be governed by and construed in accordance with the laws of Canada. Any dispute arising out of or relating to the Program shall be subject to the exclusive jurisdiction of the courts located in Canada.

Entire Agreement:

These Terms and Conditions constitute the entire agreement between you and the Company with respect to the Program and supersede all prior or contemporaneous communications and proposals, whether oral or written.

Modification:

The Company reserves the right to modify these Terms and Conditions at any time, and such modifications shall be effective immediately upon posting on the Company's website or providing notice to you. Your continued participation in the Program after such modifications shall be deemed to be your acceptance of the modified terms.

Assignment:

You may not assign these Terms and Conditions or any rights or obligations hereunder without the prior written consent of the Company. The Company may assign these Terms and Conditions without your consent.

Waiver:

The failure of either party to enforce any provision of these Terms and Conditions shall not be deemed a waiver of such provision or any other provision hereof.

Certification:

Upon successful completion of the Program, you will be awarded a certificate by the Company as well as a certification card, both showing the rank you’ve achieved. The certification will attest to your successful completion of the Program and may be used to demonstrate your knowledge and skills in social media marketing. The certification remains the property of the Company and may not be sold, transferred, or assigned.

Refunds:

The Company does not offer refunds for the Program unless otherwise stated in the separate agreement between you and the Company. Partial refunds may be provided at the Company’s discretion but are not possible in case of non-participation. If you register for additional courses/programs at the time of registering for the Program, the same non-refundable terms and conditions apply as for the Program. 

Severability:

If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent possible.

By enrolling in the Program, you acknowledge that you have read, understood, and agree to these Terms and Conditions, and that they constitute a binding agreement between you and the Company.
